About the position  

The Board Secretariat at ARENA delivers high quality and comprehensive company secretarial services to the ARENA Board, its Chair, and Board Committees. This function plays a critical role in supporting the Board’s oversight of the organisation and its responsibility for setting strategies and priorities. The Company Secretary and Secretariat collaborates closely with all teams across ARENA to ensure the highest standard of service, with a particular focus on coordination with the Office of the Chief Executive Officer (CEO). 

Sitting at the interface between the Board and Senior Management, the Company Secretary position is critical for organisational success, requiring excellent organisational skills, high emotional intelligence and judgement. Through high quality governance advice, including in relation to legislative compliance and conflict management, the Company Secretary plays an important role in maintaining ARENA’s reputation. Success in the role will also require a high level of strategic awareness and understanding of the legislative, government, political and industry contexts in which ARENA operates. 

In this role, you will:  

  • Oversee processes and governance frameworks that support the effective functioning and decision-making of the Board and its Committees, ensuring compliance with obligations under the Australian Renewable Energy Agency Act 2011 (ARENA Act), the Public Governance, Performance and Accountability Act 2013 (PGPA Act) and other legislative requirements, ARENA's policies and procedures and relevant government policies, and appropriate alignment with better practices in Resource Management Guides.  
  • Manage the full lifecycle of Board, Risk & Audit Committee (RAC), and People & Culture Committee (PCC) meetings including scheduling, agenda development (in consultation with the CEO and Chair), coordination and finalisation of meetings papers, and accurate minute-taking. 
  • Provide governance and process advice to the Board and Committees, including during meetings, on matters including fulfilment of obligations against Division 4 of the ARENA Act and Board member obligations and duties under the PGPA Act, the Board and Committee Charters and workplans, quorum management, the appropriate framing of Board and Committee decisions and managing conflicts of interest. 
  • Manage communications between the Board and Ministers, including reports on meetings, and other notification requirements under the ARENA and PGPA Acts.  
  • Maintain and support governance documentation such as charters and policies, monitor adherence to Committee protocols, maintain standard operating procedures (SOPs) and workplans for Board and Committee processes and assist in corporate risk management in partnership with the Legal & Governance team. 
  • Facilitate onboarding, induction, and offboarding of Board and Committee members, including supporting their professional development.  
  • Manage the Board’s conflicts of interest register and advise on the identification and handling of any conflicts. 
  • Act as a key liaison between the Chair, Board, Committee Chairs and ARENA leadership ensuring timely and confidential information flows, prioritising issues requiring the Chair’s attention, and supporting the implementation of Board decisions. 
  • Collaborate across the Executive Leadership Team to address issues, mitigate risks, and support responsiveness to Board needs and strategic opportunities. 
  • Support the Board by identifying opportunities for continual improvement in secretariat processes and practices. 
  • Supervise and work with others to ensure excellent administrative support to Board members, including reimbursement of expenses, travel arrangements and site visits. 

Key skills, experience and qualifications 

We are seeking an experienced Company Secretary with strong strategic thinking capability who will be a trusted advisor to the Board, CEO and agency. 

To be successful in this role, you will have: 

  • Demonstrated experience in a senior company secretariat role, supporting Boards, Committees, and Executive Leadership. 
  • Understanding of governance frameworks, corporate risk management, and the ability to quickly master complex legislative compliance obligations, with a commitment to driving best-practice governance. 
  • Proven ability to build trusted relationships and work effectively with Chairs, Board members, CEOs, senior executives, and a range of internal and external stakeholders. 
  • Strong strategic thinking, interpersonal and communication skills, with the ability to navigate complex issues, maintain confidentiality, and exercise sound judgement. 
  • Strong written communication skills in preparing high-quality reports, briefings, and Board documentation. 
  • Prior experience in a government or public sector context is desirable. 
  • Ideally, tertiary qualification in Law, Governance, Business, Commerce or a related discipline, or equivalent senior experience in a Company Secretary or governance role.
